1. Acceptance of Terms

By accessing or using PaymentPing ("Service"), operated by PaymentPing ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and PaymentPing. Please read them carefully.

2. Service Description

PaymentPing is a Software-as-a-Service (SaaS) platform that helps freelancers and small businesses:

  • Create and send professional quotes and invoices
  • Accept payments online via credit card
  • Send automated payment reminders
  • Manage client information and relationships
  • Track business revenue and outstanding payments
  • Customize branding and email templates (Pro tiers)
  • AI-powered expense categorization and insights (Pro+AI tier)

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to use PaymentPing. By creating an account, you represent and warrant that you are at least 18 years of age.

3.2 Account Registration

When creating an account, you must:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately of any unauthorized use of your account

3.3 Account Responsibility

You are responsible for all activities that occur under your account. You agree not to share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to protect your account.

4. Subscription Plans and Pricing

4.1 Available Plans

Free Trial (14 days)

Limited to 3 clients. Includes "Powered by PaymentPing" branding.

Starter ($15/month)

Up to 5 clients, core features.

Pro ($29/month or $290/year)

Unlimited clients, custom branding, custom email templates.

Pro+AI ($49/month)

All Pro features plus AI expense categorization and business insights.

4.2 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect existing subscriptions until the next renewal period. We will provide at least 30 days' advance notice of price changes via email.

5. Payment Terms and Billing

5.1 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By providing your payment information, you authorize us to charge your payment method for all fees incurred.

5.2 Billing Cycle

  • Monthly plans: Billed monthly on the same day you subscribed
  • Annual plans: Billed once per year on the subscription anniversary
  • All fees are charged in advance for the upcoming billing period
  • No refunds for partial months or unused service

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged at the then-current rate for your plan.

5.4 Failed Payments

If a payment fails, we will attempt to charge your payment method up to three times. If payment cannot be collected, your account will be suspended until payment is received. After 30 days of non-payment, your account may be terminated and your data deleted.

5.5 Taxes

All fees are exclusive of applicable federal, provincial, state, local, or other governmental sales, goods and services, harmonized or other taxes, fees, or charges ("Taxes"). You are responsible for paying all Taxes associated with your subscription. If we are required to collect Taxes, they will be added to your invoice.

6. Free Trial

New users are eligible for a 14-day free trial with the following limitations:

  • Limited to 3 clients maximum
  • All PDFs include "Powered by PaymentPing" branding
  • Full access to core features (invoicing, quotes, payment reminders)
  • No credit card required to start

After the trial period ends, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be downgraded and you will lose access to your data until you subscribe.

Note: Free trials are limited to one per person/business. Attempts to create multiple trial accounts to extend the free period violate these Terms and may result in account termination.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation is effective at the end of your current billing period. You will retain access to the Service until the end of the paid period.

7.2 No Refunds

All subscription fees are non-refundable. No refunds or credits will be provided for partial months, upgrade/downgrades, or unused services. If you cancel, you will not be charged for subsequent billing periods.

7.3 Exceptions

Refunds may be issued at our sole discretion in cases of:

  • Billing errors or duplicate charges
  • Extended service outages caused by us (not third-party providers)
  • Other exceptional circumstances as determined by PaymentPing

8. User Responsibilities and Conduct

You agree to:

Use the Service only for lawful business purposes

Comply with all applicable laws and regulations

Provide accurate information when creating invoices and quotes

Maintain the security and confidentiality of your account

Use reasonable volumes of email sending (no mass spam)

Respect the intellectual property rights of PaymentPing and others

Be responsible for all taxes and regulatory compliance in your jurisdiction

9. Prohibited Uses

You agree NOT to:

Use the Service for any illegal purpose or in violation of any laws

Send unsolicited commercial emails (spam) through the Service

Engage in fraudulent transactions or money laundering

Attempt to gain unauthorized access to the Service or other users' accounts

Reverse engineer, decompile, or disassemble the Service

Use automated systems (bots, scrapers) to access the Service without permission

Upload viruses, malware, or malicious code

Resell or redistribute the Service without our written permission

Use the Service to compete with PaymentPing or build a similar product

Remove or obscure any proprietary notices or branding (except on Pro plans)

Violation of these prohibitions may result in immediate account suspension or termination without refund.

10. Intellectual Property Rights

10.1 Our Rights

The Service, including its source code, design, features, branding, trademarks, and all related intellectual property, is owned by PaymentPing and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms. This license does not include any right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer or access the source code
  • Sell, rent, lease, or sublicense the Service
  • Remove or alter any proprietary notices

10.2 Trademarks

"PaymentPing" and related logos are trademarks of PaymentPing. You may not use our trademarks without our prior written consent.

11. User Content and Data

11.1 Your Data Ownership

You retain all rights to your data. This includes client information, invoices, quotes, business settings, and all content you upload or create using the Service ("User Content").

11.2 License to Us

You grant PaymentPing a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service. This license terminates when you delete your content or account, except for:

  • Content shared with others (like sent invoices)
  • Content we're legally required to retain (e.g., financial records)
  • Anonymized data used for analytics and service improvement

11.3 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have permission to use all User Content you upload
  • Your User Content does not violate any laws or third-party rights
  • Your User Content does not contain malicious code or illegal material

11.4 Data Export and Deletion

You can export your data at any time through your account settings. If you delete your account, your data will be permanently deleted within 30 days, except as required by law or described in our Privacy Policy.

12. Disclaimers and Warranties

IMPORTANT - PLEASE READ CAREFULLY:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Any errors in the Service will be corrected
  • The Service will be compatible with all systems or software

You acknowledge that use of the Service is at your own risk. We are not responsible for:

  • Payment processing failures or delays caused by Stripe or other payment processors
  • Email delivery failures caused by email providers or spam filters
  • Third-party service outages (hosting, database, payment processing)
  • Your clients failing to pay invoices
  • Tax compliance or financial reporting obligations in your jurisdiction
  • Legal or accounting advice related to your business

13. Limitation of Liability

LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYMENTPING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall PaymentPing's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of:

  1. The amount you paid to PaymentPing in the 12 months preceding the claim, or
  2. $100 CAD

This limitation applies to all causes of action in the aggregate, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and other torts.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless PaymentPing, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your User Content
  • Your business operations, client relationships, or financial transactions
  • Any false or misleading information you provide

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

15. Termination

15.1 Termination by You

You may terminate your account at any time through your account settings. Termination is effective at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

15.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You fail to pay subscription fees
  • We are required to do so by law
  • We decide to discontinue the Service (with 30 days' notice)

15.3 Effects of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • Your User Content will be deleted within 30 days (unless legally required to retain)
  • You remain liable for all fees incurred before termination
  • Sections that should survive termination (e.g., liability, indemnification) remain in effect

Data Export: We strongly recommend exporting your data before terminating your account. Once your account is deleted, data recovery may not be possible.

16. Modifications to Service and Terms

16.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

16.2 Terms Modifications

We may update these Terms from time to time. Material changes will be communicated via:

  • Email notification to your registered address
  • Prominent notice in the application
  • Updated "Last Updated" date on this page

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@payment-ping.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days.

17.2 Arbitration (Optional)

If informal resolution fails, either party may pursue binding arbitration as an alternative to litigation. Arbitration will be conducted in accordance with the rules of the applicable arbitration service.

Note: You have the right to opt out of arbitration by sending written notice to legal@payment-ping.com within 30 days of account creation.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts located in Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue.

International Users: If you access the Service from outside Canada, you are responsible for compliance with local laws in your jurisdiction.

19. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PaymentPing regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control (e.g., natural disasters, wars, pandemics, internet outages, third-party service failures).

No Agency

No agency, partnership, joint venture, or employment relationship is created between you and PaymentPing as a result of these Terms or use of the Service.

BY USING PAYMENTPING, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.
